Terms of Service
Read this first. Keepsake is an AI-powered voice companion and family record. It is not a medical device, not a monitoring or emergency system, and not a substitute for human care. AI-generated answers, summaries, and alerts can be wrong. A person must verify anything that matters.
1. Agreement
These Terms are a contract between [COMPANY LEGAL NAME] ("Keepsake", "we") and you, the person who creates or joins a Keepsake household account. By setting up a device, accepting an invitation, or using the family portal, you agree to these Terms and to the Privacy Policy, which explains how data is handled and forms part of this agreement.
2. The service
Keepsake provides: a voice companion device experience for a resident living with memory loss; a family portal where invited family members and carers keep a shared record of her day; and automated AI agents that answer her questions, summarise the record, compose briefings, and raise suggestions to the family.
3. Roles and responsibility for the resident
- A household is created by an adult (the "household administrator") who invites other family members and carers. You may only set up a companion device for a resident if you are legally entitled to make that decision — as the resident herself while she has capacity, or as her legal representative, or with the consent of someone who is.
- You are responsible for who you invite. Everyone invited can see the full household record, which is sensitive. Remove access promptly when someone should no longer have it.
- Information entered into the household record affects what the companion tells the resident (for example, marking a person as passed away changes what may be said to her). Keep the people list and the medication schedule accurate; they are maintained by people only, and no AI agent can change them.
4. Artificial intelligence — disclosure and limits
- The companion's answers, day summaries, inferred facts, morning briefings, practice questions, and family alerts are generated by artificial intelligence (large language models), grounded in your household's record.
- AI output may be inaccurate, incomplete, or misleading despite our safeguards (provenance labels, trust scores, code-enforced rules for deceased persons and medication answers).
- You must not rely on AI output as the basis for medical, medication, legal, financial, or safety decisions. Verify with a qualified person.
- Automated agents act on a schedule and on request; every run is logged and visible in the portal. Alerts are suggestions to a human, not decisions.
5. Not medical advice; emergencies
Keepsake does not provide medical advice, diagnosis, or treatment, and is not a medical device in any jurisdiction. It does not monitor health or safety and will not detect falls, wandering, missed medication, or emergencies. In an emergency, call your local emergency number. Do not use Keepsake as any part of an emergency-response arrangement.
6. Acceptable use
You agree not to:
- use Keepsake to harass, deceive, or harm anyone, including the resident;
- enter data about a person you have no right to share;
- attempt to bypass the portal-access challenge on a resident's device, or access a household you were not invited to;
- probe, overload, or disrupt the service, or attempt to extract our models, prompts, or other users' data;
- use the service to build a competing dataset or service;
- resell the service without our written agreement.
7. Your content
Your household owns the content it records — notes, photographs, corrections, and the resident's transcripts. You grant us the licence needed to host, process, display, and transform that content to operate the service (including sending relevant excerpts to our AI processors to generate answers and summaries), and for no other purpose. You are responsible for having the right to upload what you upload, including photographs of other people.
AI-generated entries in your household record (summaries, briefings, inferred facts) are part of your household record and yours to keep, subject to the AI limits in Section 4.
8. Accounts and security
- Keep your sign-in method and the device PIN confidential. Choose a PIN the resident is unlikely to repeat, and change it if it may have been exposed.
- Tell us promptly at [SUPPORT EMAIL] if you suspect unauthorised access.
- We may suspend access that threatens the security of the service or of a household.
9. Fees
[If applicable: subscription pricing, billing cycle, renewal, cancellation, refunds, and trial terms. If the service is currently free, state that pricing may be introduced with at least 30 days' notice.]
10. Availability and changes
We work to keep Keepsake available and useful, but the service is provided without guaranteed uptime and depends on third-party platforms (cloud hosting, AI providers, device speech services). We may change, add, or remove features. If a change materially reduces the service, we will give reasonable notice through the portal. We may discontinue the service with at least [60/90] days' notice and an opportunity to export the household record.
11. Termination
You may leave a household or close a household account at any time; closure leads to deletion as described in the Privacy Policy. We may suspend or terminate access for material breach of these Terms, with notice where practicable.
12. Disclaimers
Except as expressly stated, the service is provided "as is" and "as available", without warranties of any kind, express or implied, including fitness for a particular purpose, accuracy of AI output, and non-infringement. Nothing in these Terms excludes rights that consumer law gives you and that cannot be excluded.
13. Liability
To the fullest extent permitted by law: we are not liable for indirect, incidental, special, or consequential losses; and our total liability arising out of the service is limited to the greater of the amounts you paid us in the twelve months before the claim and [€100]. Nothing limits liability for death or personal injury caused by our negligence, for fraud, or for anything else that cannot lawfully be limited.
14. Indemnity
You will indemnify us against claims arising from content you upload without the right to do so, or from your breach of Section 3 (authority to set up a device for a resident) or Section 6 (acceptable use).
15. Governing law and disputes
These Terms are governed by the laws of [JURISDICTION], and disputes belong to the courts of [VENUE], subject to any mandatory consumer protections of your country of residence.
16. Changes to these Terms
We may update these Terms. Material changes will be notified through the portal and by email at least 14 days before they take effect; continued use after that date is acceptance. Prior versions are available on request.
